Terms of Service

Effective date: 1 Apr 2026

These Terms of Service (“Terms”) govern your access to and use of WhatsBox (the “Service”), including any websites, applications, dashboards, APIs, and related services provided by Techarius Enterprise (Co. Reg. No. 126580) (“WhatsBox”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Who may use the Service

You must be legally able to form a contract. If you use the Service on behalf of a business, you represent you have authority to bind that business, and “you” includes the business.

2) The Service

WhatsBox provides tools for WhatsApp messaging operations such as:

  • WhatsApp Business API connection and message delivery workflows
  • Message templates and campaign templates (built on WhatsApp templates)
  • AI auto-reply / chatbot automation and routing
  • Analytics and operational tools

Features may change over time.

3) Accounts and security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Ensuring your team members use the Service in compliance with these Terms

Notify us immediately at [email protected] if you suspect unauthorized access.

4) Your content and data

You may upload or input content into the Service, including contact lists, message templates, campaign content, automations, and chatbot knowledge (“Customer Content”).

You retain ownership of Customer Content. You grant WhatsBox a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service, enforce these Terms, and comply with law.

5) Messaging compliance (critical)

You must comply with:

  • Applicable laws and regulations (privacy, marketing, consumer protection, anti-spam)
  • WhatsApp policies and terms, including WhatsApp Business messaging rules

You will not:

  • Send messages without valid consent/permission where required
  • Send spam, scams, misleading or fraudulent content
  • Send malware, exploit links, or illegal content
  • Attempt to bypass WhatsApp enforcement, rate limits, template rules, or user opt-out

Consent, opt‑out, and anti‑spam rules

You are responsible for ensuring your WhatsApp messaging complies with applicable law and WhatsApp policies. At a minimum:

  • You must only message recipients with valid permission/consent where required.
  • You must keep evidence of consent and provide it upon request.
  • You must provide a clear opt‑out path and honor opt‑outs promptly.
  • Treat messages like “STOP”, “UNSUBSCRIBE”, “CANCEL” as opt‑outs.
  • Do not re-message opted‑out recipients unless they re-subscribe.

Prohibited content and behavior

You must not use the Service to:

  • Send spam, mass unsolicited messages, or purchased/scraped lists
  • Send phishing, scams, deception, or misleading offers
  • Promote illegal goods/services
  • Send malware, exploit links, or harmful attachments
  • Circumvent WhatsApp enforcement, template approvals, or rate limits

Templates, campaigns, and approvals

You are responsible for:

  • Ensuring templates and campaign content are accurate and compliant
  • Using correct template categories and purposes
  • Avoiding sensitive content unless permitted by WhatsApp and law

WhatsBox does not guarantee template approval by WhatsApp.

6) AI features

If you enable AI features, you acknowledge:

  • AI outputs may be inaccurate or incomplete
  • You are responsible for reviewing and configuring AI behavior
  • You must not use AI for prohibited content or unlawful profiling

AI auto‑reply rules

If you enable AI auto‑reply/chatbot features:

  • Configure safe rules (handover to a human, escalation for sensitive cases)
  • Avoid generating prohibited or harmful content
  • Review outputs periodically; AI may be incorrect

AI accuracy disclaimer

AI may produce incorrect, incomplete, or misleading output. WhatsBox does not guarantee accuracy. You should not rely on AI output as professional advice (legal, medical, financial, etc.).

7) Third-party services (WhatsApp, providers, integrations)

The Service may rely on third-party services (e.g., WhatsApp Business API providers, cloud hosting, analytics). WhatsBox is not responsible for third-party outages, policy changes, or actions. Your use may be subject to third-party terms.

8) Plans, fees, and billing

Paid plans are billed as described during checkout or in your account. By subscribing, you authorize us (and our payment processors) to charge applicable fees and taxes.

8A) Additional charges and third‑party fees (WhatsApp / AI)

Your use of the Service may involve fees charged by third parties, which are separate from and in addition to fees you pay to WhatsBox.

Examples may include:

  • WhatsApp Business API / Meta charges, including conversation or messaging-related fees (as applicable)
  • WhatsApp BSP/provider fees if you use a third‑party provider to access WABA
  • AI provider fees (e.g., usage-based charges for AI models) if you connect your own AI account or credentials
  • Any other integration or infrastructure fees you enable in your own environment

You are solely responsible for:

  • Setting up and maintaining any required third‑party accounts
  • Understanding and paying all third‑party fees
  • Any limits, policy enforcement, suspensions, or outages caused by third parties

WhatsBox may show usage metrics, estimates, or logs to help you manage your costs, but WhatsBox does not control and does not guarantee the pricing, billing, approvals, or availability of third‑party services.

8B) Fair use and usage limits

To protect the Service, WhatsBox may apply fair-use policies, rate limits, or usage limits (including during trial) to prevent abuse, maintain deliverability, and ensure stability for all customers.

9) Suspension and termination

We may suspend or terminate your access (with or without notice) if:

  • You violate these Terms or the Messaging policy
  • We believe your usage risks harm to WhatsBox, other users, or third parties
  • Required by law or by WhatsApp / platform enforcement

You may cancel your subscription according to the Subscription & Billing Policy.

9A) Third‑party platform risk (Meta/WhatsApp and other providers)

The Service depends on third‑party platforms and providers (including Meta/WhatsApp). WhatsBox is not responsible for third‑party actions or changes, such as account restrictions, template rejections, API limitations, policy updates, downtime, or suspension imposed by a third party.

10) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHATSBOX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

We do not guarantee message delivery, delivery timing, template approvals, or results such as sales or conversion rates.

11) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHATSBOX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO WHATSBOX FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12) Indemnification

You will indemnify and hold harmless WhatsBox from claims arising out of:

  • Your Customer Content
  • Your messaging campaigns and consent practices
  • Your breach of these Terms or applicable law

13) Confidentiality

If we share non-public information with you (e.g., support diagnostics), you will keep it confidential and use it only to operate the Service.

14) Changes

We may update these Terms from time to time. We will post an updated effective date. Continued use of the Service means you accept the updated Terms.

15) Governing law

These Terms are governed by the laws of Malaysia, excluding conflict-of-law rules.
